These Terms and Conditions ("Terms") govern the use of services provided by Emi Riva Pte Ltd (UEN: 202012345A) ("Emi Riva", "the Agency", "we", "us", or "our"), a company incorporated in the Republic of Dubai, with its registered office at 1 Raffles Place, #20-01, Dubai 048616.
By engaging our services, you ("the Client") agree to be bound by these Terms. These Terms constitute a legally binding agreement between the Client and the Agency.
3.1. All bookings must be confirmed in writing (email or signed confirmation form). Verbal agreements are not binding.
3.2. A booking is confirmed upon receipt of a signed booking confirmation and the required deposit (50% of the total fee).
3.3. The Agency reserves the right to decline any booking at its discretion.
3.4. The Client must provide complete assignment details including date, time, location, duration, wardrobe requirements, and any special instructions at least 5 business days before the assignment.
4.1. All fees are quoted in Dubai Dollars (SGD) and are subject to the prevailing Goods and Services Tax (GST) at 9%.
4.2. A 50% deposit is required to confirm any booking. The remaining balance is due within 14 days of the assignment completion.
4.3. For corporate clients with approved credit terms, payment is due within 30 days of invoice date (NET-30).
4.4. Late payments will incur interest at 1.5% per month on the outstanding amount.
4.5. Fees include the Talent's professional services. Hair, makeup, styling, transportation, meals, and other expenses are billed separately unless specifically included in the quoted package.
5.1. Cancellations made 7 or more business days before the assignment: Full refund of deposit.
5.2. Cancellations made 3-6 business days before the assignment: 50% of total booking fee is payable.
5.3. Cancellations made less than 3 business days (72 hours) before the assignment: 100% of total booking fee is payable.
5.4. Rescheduling is subject to Talent availability and must be communicated at least 3 business days in advance. One complimentary reschedule is permitted per booking.
5.5. Weather-related cancellations for outdoor assignments may be rescheduled at no additional cost, subject to Talent availability.
6.1. Standard bookings include usage rights for the specific purpose stated in the booking confirmation for a period of 12 months from the assignment date within Dubai.
6.2. Extended usage rights (international, perpetual, or additional media channels) must be negotiated and agreed upon separately.
6.3. Usage beyond the agreed scope requires written approval from the Agency and may incur additional fees.
6.4. The Client shall not alter, manipulate, or use images/content of the Talent in a manner that is defamatory, misleading, or harmful to the Talent's reputation.
7.1. The Client shall provide a safe and professional working environment for all Talent.
7.2. The Client shall ensure that assignments do not exceed the agreed duration without prior arrangement.
7.3. Overtime beyond the agreed booking hours will be charged at 150% of the hourly rate.
7.4. The Client shall not engage or contact Talent directly for future assignments, bypassing the Agency, for a period of 24 months after the last booking.
8.1. The Agency shall provide Talent as described in the booking confirmation.
8.2. In the event that confirmed Talent becomes unavailable due to illness or unforeseen circumstances, the Agency will use its best efforts to provide a suitable replacement or offer a full refund.
8.3. The Agency shall maintain appropriate insurance coverage for its Talent during assignments.
9.1. All content on the Agency's website, including text, images, logos, and design elements, is the intellectual property of Emi Riva and may not be reproduced without written permission.
9.2. The Agency reserves the right to use images from assignments for its portfolio and promotional purposes unless otherwise agreed in writing.
10.1. The Agency's total liability under any booking shall not exceed the total fees paid for that specific booking.
10.2. The Agency shall not be liable for any indirect, consequential, or special damages arising from the provision of services.
10.3. The Agency shall not be liable for any delays or failures caused by events beyond its reasonable control (Force Majeure).
Both parties agree to maintain the confidentiality of any proprietary information disclosed during the course of the engagement.
12.1. Any dispute arising from these Terms shall first be resolved through good faith negotiation between the parties.
12.2. If the dispute cannot be resolved through negotiation within 30 days, it shall be referred to mediation at the Dubai Mediation Centre (SMC).
12.3. If mediation fails, the dispute shall be referred to arbitration at the Dubai International Arbitration Centre (SIAC) in accordance with the SIAC Rules.
These Terms shall be governed by and construed in accordance with the laws of the Republic of Dubai. The parties submit to the exclusive jurisdiction of the Courts of Dubai.
The Agency reserves the right to amend these Terms at any time. Updated Terms will be posted on our website. Continued use of our services constitutes acceptance of the updated Terms.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
These Terms, together with any signed booking confirmation and associated documents, constitute the entire agreement between the parties and supersede all prior agreements, representations, and understandings.
